On 11 August 2025, the European Commission conditionally approved Prosus’ €4.1bn acquisition of Just Eat Takeaway in Phase 1.
Prosus, a leading lifestyle e-commerce technology company in Europe, acquired Just Eat Takeaway (‘JET’), which operates food delivery platforms across multiple EU countries. Prosus held a pre-existing minority stake in Delivery Hero (‘DH’). The European Commission’s investigation focused on whether the creation of a structural link between JET and DH could give rise to unilateral and/or coordinated effects. As part of its assessment, the Commission considered a calibrated merger simulation model submitted by Oxera, which indicated that any unilateral price effects were likely to be limited in the absence of control over DH, or coordination between JET and DH. Nevertheless, to address the Commission’s remaining concerns in Phase I, Prosus committed to significantly reduce its shareholding in DH, in combination with a set of behavioural commitments.
